Terms of Service

1. Acceptance of Terms

By creating a Restrofi account or using any part of the Restrofi platform, you agree to these Terms of Service and our Privacy Policy. If you are using Restrofi on behalf of a business, you represent that you have authority to bind that business to these terms. If you do not agree, do not use the service.

2. Service Description

Restrofi is a cloud-based restaurant management platform provided by Navtechy ("we", "us", "Restrofi"). The platform includes tools for menu management, QR-based ordering, kitchen display, GST invoicing, analytics, and staff management. Restrofi is order management software — we do not process customer food payments or take any commission on your sales. All customer payment processing is handled by your own payment gateway account (e.g. Razorpay).

3. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access. We reserve the right to terminate accounts that provide false information or violate these terms.

4. Subscription Plans and Payment

Restrofi is offered on a subscription basis. Plans, pricing, and features are listed at restrofi.com/pricing. Subscription fees are charged monthly or annually depending on your selected plan. Fees are billed in advance at the start of each billing period. Subscriptions automatically renew unless cancelled before the renewal date. All payments are processed by Razorpay. Restrofi does not store full card or bank account details.

5. Free plan and upgrades

Restrofi offers a free subscription tier with limits described at restrofi.com/pricing. No payment method is required to use the free plan. Paid plans add features and capacity; you are charged only when you choose a paid plan and complete payment. We may adjust plan limits or pricing with reasonable notice.

6. Cancellation

You may cancel your subscription at any time from your account dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing period — you retain access to the platform until then. We do not pro-rate cancellations mid-period. After cancellation, your data is retained for 30 days before deletion, during which time you may request an export.

7. Acceptable Use

You agree not to: (a) use Restrofi for any unlawful purpose or in violation of applicable Indian law; (b) attempt to gain unauthorized access to any part of the platform or its infrastructure; (c) reverse-engineer, decompile, or extract source code from the platform; (d) use the platform to transmit spam, malware, or other harmful content; (e) resell or sublicense Restrofi to third parties without our written consent; (f) use automated scripts or bots to scrape or abuse the platform. Violation of acceptable use policies may result in immediate account suspension.

8. Data Ownership

You retain full ownership of all data you input into Restrofi — including your menu, order history, customer data, and analytics. Restrofi does not claim ownership of your data. We act as a data processor on your behalf. You are responsible for ensuring you have appropriate consent and legal basis for any customer personal data you store on the platform.

9. Intellectual Property

Restrofi and all associated software, designs, trademarks, and content are the intellectual property of Navtechy. No part of the platform may be reproduced, distributed, or used outside of the intended service without our written permission. You grant Restrofi a limited, non-exclusive licence to display and process your content solely to provide the service to you.

10. Uptime and Service Availability

Restrofi aims to maintain high availability but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from downtime, whether planned or unplanned. For Chain plan customers, uptime commitments are defined in the applicable service level agreement.

11. WhatsApp Business Integration

Merchants may, at their option, connect their WhatsApp Business Account to Restrofi to enable automated messaging to their customers. By connecting a WhatsApp Business Account to Restrofi, the Merchant agrees to the following terms in addition to the general Terms of Service.

Eligibility

The WhatsApp integration is available only to Merchants on a paid Restrofi plan. Free-tier Restrofi accounts cannot connect a WhatsApp Business Account. The integration is provided as an addon subscription priced per tier, billed monthly with bi-weekly overage charges as disclosed in the Restrofi pricing page.

Merchant responsibilities

The Merchant is solely responsible for:

  1. Compliance with Meta's WhatsApp Business Solution Terms and Messaging Policy.
  2. Obtaining appropriate consent from their customers before sending WhatsApp messages, in accordance with applicable telecommunications, privacy, and consumer protection laws (including but not limited to the Information Technology Act, 2000 and TRAI regulations in India).
  3. The accuracy and lawfulness of message content sent through their account.
  4. Honoring customer opt-out requests promptly.
  5. Maintaining their WhatsApp Business Account in good standing with Meta, including responding to Meta's quality and compliance requirements.

Restrofi's role

Restrofi acts as a Meta-authorized Tech Provider, sending messages on the Merchant's behalf when triggered by events in the Merchant's Restrofi account (such as a new order, an accepted order, a scheduled delivery, or a low rating). Restrofi does not originate messages independently of Merchant configuration.

The Merchant retains full ownership of their WhatsApp Business Account. Restrofi may access Platform Data only to operate the messaging service as described in our Privacy Policy.

Acceptable use

The following are prohibited and may result in immediate suspension of the WhatsApp integration:

  • Sending unsolicited marketing messages to customers who have not opted in
  • Using the integration for content unrelated to the Merchant's food or hospitality business
  • Sending messages on behalf of any third party
  • Bypassing customer opt-out requests
  • Using deceptive sender identities
  • Any activity that would violate Meta's WhatsApp Business Messaging Policy or applicable law

Suspension and termination

Restrofi may suspend or terminate the WhatsApp integration for a Merchant if:

  • Meta downgrades the Merchant's account quality rating to RED or suspends the account
  • The Merchant's payment for the addon or overage charges fails for more than 14 days after notice
  • We have reasonable grounds to believe the Merchant is in breach of these terms
  • We are required to do so by Meta or by law

Suspension does not entitle the Merchant to a refund of the current billing period. Bi-weekly overage charges already incurred remain payable.

Pricing and billing

WhatsApp addon subscriptions are billed monthly. Overage charges (messages above the included tier allowance) are billed bi-weekly via the payment method on file. The Merchant authorizes Restrofi to charge their saved payment method for these amounts.

Pricing is as published on the Restrofi pricing page. Restrofi reserves the right to change addon and overage pricing on 30 days' written notice. Active subscriptions continue at the current rate until renewal.

Limitation of liability for messaging

Restrofi is not responsible for:

  • Messages that fail to deliver due to recipient settings, Meta downtime, or recipient blocking
  • Customer complaints or disputes arising from message content composed by the Merchant
  • Penalties or fines imposed on the Merchant by regulators or by Meta for misuse of the WhatsApp Business Platform

The Merchant indemnifies Restrofi for any claims arising from the Merchant's use of the WhatsApp integration in violation of these terms, applicable law, or Meta's policies.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Navtechy's total liability to you for any claim arising out of or relating to these terms or the service shall not exceed the fees paid by you to Restrofi in the three months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss. Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Navtechy and its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the platform in violation of these terms; (b) your violation of any third-party rights; or (c) any content you submit to the platform.

14. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 15 days before the changes take effect. Continued use of Restrofi after the effective date of revised terms constitutes acceptance. If you do not accept the revised terms, you must stop using the service and cancel your subscription.

15. Termination

We may suspend or terminate your account immediately if you violate these terms, fail to pay subscription fees, or engage in activity that we reasonably believe poses a risk to the platform or other users. You may terminate your account at any time. Upon termination, your right to use the service ends immediately. Data retention and deletion procedures are described in our Privacy Policy.

16. Governing Law and Disputes

These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Rajasthan, India. For consumer-related disputes, applicable Indian consumer protection laws may also apply.
